TEACUP CHAINS SQUARE DANCE
CLUB
CONSTITUTION AND BY-LAWS
ARTICLE I - NAME
The name of this club shall be
teacup chains. It shall be headquartered in Edmond,
Oklahoma.
ARTICLE II - PURPOSE
The purpose of this
organization shall be purely social and recreational,
and shall include providing for its members the pleasure
of square dancing and complimenting activities in the
spirit of friendliness and good fellowship, welcoming
all guests, visiting other clubs when possible and
supporting all district and state functions.
Intoxicating drinks shall not be consumed immediately
before or during any club dance or meeting.
ARTICLE III - MEMBERSHIP
SECTION I
Membership shall be open to
individuals or couples over the age of 18 who have
graduated from mainstream lessons.
SECTION II
Membership is retained by
paying dues quarterly and meeting the above
requirements. The caller and his spouse will pay no dues
but will be a voting member of the club.
SECTION III
A member in good standing who
is no longer able to attend dances but still wishes to
maintain their association with the club may be named an
Honorary Member by a vote of the club. An Honorary
member pays no dues and has no voting privileges, but
shall be listed in the directory and receive notices of
club events.
ARTICLE IV - MEETINGS
SECTION I
There shall be at least two
meetings per year of the entire membership.
SECTION II
All meetings shall be governed
by Roberts Rules of Order.
ARTICLE V - OFFICERS
SECTION I
The officers of this club
shall be: President, President-Elect (Vice-President),
Secretary, Treasurer and Membership. Each officer shall
serve one year. These officers, along with the Immediate
Past President, shall be known as the Executive Board.
No member shall serve more than one office at the same
time.
SECTION II - PRESIDENT
The President shall preside at
all meetings of the club and of the Executive Board. The
President shall appoint all committee chairpersons,
delegates and any other persons not otherwise
specifically provided for herein and shall exercise all
the usual functions of the presidency.
SECTION III PRESIDENT-ELECT
(VICE-PRESIDENT)
In the absence of the
President, the President-Elect shall perform the duties
of the President. This officer shall be responsible for
all club property. The President-Elect shall be
responsible for securing a caller and a dance hall.
SECTION IV - SECRETARY
The Secretary shall keep an
accurate record of all meetings of the club and of the
Executive Board. The Secretary shall be responsible for
any correspondence with other entities.
SECTION V - TREASURER
The Treasurer shall receive
all funds and give a written receipt for same. The
Treasurer shall pay all authorized debts of the club.
The Treasurer shall maintain a record of all receipts
and disbursements and make a quarterly report which will
be made available to all members. The Treasurer and the
President shall both be signators of the club bank
account. Only one signature will be necessary for
writing checks.
SECTION VI - MEMBERSHIP
The Membership office shall
maintain a current list of members, including their
names, addresses, birthdays and anniversaries and shall
communicate with members as needed. Membership shall
also maintain a birthday and anniversary calendar and
furnish such information to the presiding officer at
dances for recognition of members' birthdays and
anniversaries as they occur.
ARTICLE VII - ELECTION OF
OFFICERS
SECTION I
Officers shall be elected each
December at a meeting of the entire membership. The term
of office shall be from January 1 and continue for 12
months, ending the following December 31. This shall be
the official year of the club. If an office becomes
vacant, a new officer shall be elected by special
election.
SECTION II
At the first dance in October,
the President shall appoint three members who are not on
the Executive Board to serve as a Nominating Committee.
A slate of candidates for election to the Executive
Board will be selected by the Nominating Committee and
submitted to the entire membership at the December
membership meeting. At this meeting additional
nominations may be made from the floor. New officers
will be elected at this meeting.
ARTICLE VIII DUES
SECTION I
Membership dues shall be set
each December or as often as needed. The amount of the
dues shall be recommended by the Executive Board and
approved by the general membership.
SECTION II
Dues shall be waived for the
club’s Caller and spouse, the President and those
serving on the Executive Board of the Central District
Square Dance Association or the Oklahoma Square Dance
Association. Star dues will not be waived.
ARTICLE IX - CHANGES IN THE
CONSTITUTION AND BY-LAWS
Any proposed amendments to the
constitution or by-laws shall be distributed to the
members and voted on by a method determined by the
president. A two-third majority of members present at a
meeting must vote for an amendment in order for it to be
adopted. If vote is taken by email, two-thirds of all
members must vote for an amendment in order for it to be
adopted.
ARTICLE X - DISSOLUTION
In the event the club
dissolves for any reason, any remaining property or
money belonging to the club shall be disposed of as
determined by a majority vote of the general membership.
ARTICLE XI - PERSONAL
LIABILITY
SECTION I
This organization shall be a
non-profit corporation and no part of the assets or
funds of this organization shall become vested as
property rights in any member or delegate, nor shall the
funds or assets of this organization be allowed to enure
to the benefit of any person or firm other than by the
payment of duly authorized sums for performance of
services or the furnishing of materials or services as
required and approved by the executive board.
SECTION II
No officer, delegate or member
shall be personally liable for any of the debts or
obligations of the organization which have been incurred
with approval or direction of any officer having such
authority or the executive board.
SECTION III
This organization shall have
such powers as are allowed it by the laws of Oklahoma,
including the right to take by gift, purchase, devise or
bequest, real and personal property for all purposes
appropriate to its creation and the right to adopt
by-laws.
These foregoing amended constitution and by-laws,
consisting of three pages were adopted and approved at a
general membership meeting on June 16, 2007.
Note:
July 29, 1991- original constitution and by-laws use
approved by the charter membership.
October 2004 - constitution and by-laws were amended in
to permit single membership.
June 16, 2007 - constitution and by-laws were amended to
change fiscal year to a calendar year.
December 20, 2008 –
constitution and by-laws amended to set membership age
to minimum of 18, allow Honorary Member category, waive
dues for president and any executive officers of state
and district associations and allow president to set
method of voting on future bylaws changes.
